In Belize, a Limited Liability Partnership (LLP) is a flexible and business-friendly legal structure that combines elements of both a partnership and a company. An LLP allows professionals, such as lawyers, accountants, and consultants, to form a partnership with limited liability protection. This means that individual partners are shielded from personal liability for the actions or debts of the LLP. In an LLP, partners are not personally responsible for the negligence or misconduct of their fellow partners, promoting a collaborative and risk-mitigated environment for professional services. The LLP structure is advantageous for businesses where expertise, shared responsibilities, and flexibility are essential components of their operation.

All businesses that are majority-owned by foreigners must utilize the services of a Registered Agent.

Requirements to register an LLP include:

  • Availability of the LLP name
  • Social Security ID or Passport of all partners
  • Principal address of the LLP
  • Principal address of each partner
  • Declaration – stating the partner responsible to register and manage the LLP. The declaration must be signed by all partners.
  • Bond
  • Nature of the business
